摩根大通以 1800 万美元与 SEC 达成和解
美国证券交易委员会（SEC）今天宣布，对摩根大通证券有限责任公司（J.P. Morgan Securities LLC，JPMS）阻碍数百名顾问客户和经纪客户向 SEC 报告潜在的违反证券法行为的指控达成和解。JPMS 同意支付 1,800 万美元的民事罚款，以了结指控。
根据 SEC 的命令，从 2020 年 3 月到 2023 年 7 月，JPMS 经常要求零售客户签署保密免责协议，如果他们从公司获得了超过 1000 美元的信贷或结算。
协议要求客户对结算、与结算有关的所有基本事实以及与所涉账户有关的所有信息保密。此外，尽管协议允许客户回复证交会的询问，但并不允许客户主动联系证交会。
证交会的命令认定 JPMS 违反了 1934 年《证券交易法》下的规则 21F-17(a)，该规则是一项举报人保护规则，禁止采取任何行动阻碍个人就可能违反证券法的行为与证交会工作人员直接沟通。JPMS 不承认也不否认 SEC 的调查结果，同意接受谴责，停止违反举报人保护规则，并支付 1,800 万美元的民事罚款。
