通天酒业(00389)：郑嘉福辞任独立非执行董事
通天酒业(00389)发布公告，于2024年7月2日，公司收到一名声称持有公司已发行股本10% 以上的人士的同日函件。宣称要求人拟宣称援引公司细则第65条，通过向董事会发出该函件而发出宣称要求以召开公司股东特别大会以通过(其中包括)罢免董事会大多数现有成员及委任五名人士为董事的决议案。
于2024年7月18日，郑嘉福提呈辞任独立非执行董事，自以下较迟日期起生效：(i) 2024年9月1日;及(ii) 根据要约人发出的日期为2024年6月28日的要约文件，代表王赫提出的以收购公司3016万股股份(要约人及其一致行动人士已拥有者除外)的自愿有条件现金部分收购要约的最后截止日期。郑博士辞任乃由于，其作为部分收购要约的独立非执行董事职责将于其辞任生效前获解除。当郑博士辞任独立非执行董事生效时，彼将同时不再担任审核委员会主席及薪酬委员会主席。
