美东汽车(01268)发布公告，根据香港联合交易所有限公司证券上市规则(上市规则)第37.48(a)条，发行人及该公司联合公布，于本公告日期，该公司已购回及按条件注销(或将尽快注销)本金总额为8.07亿港元的债券，占初始债券本金总额约29.35%(已购回债券)。已购回债券附带权利转换为1803.02万股(向下约整最接近完整股数)换股股份(基于截至本公告日期的现行换股价每股换股股份44.7582港元计算)。董事会认为，购买已购回债券不会对该公司的财务状况造成重大不利影响。
于本公告日期，经计及于本公告日期前已转换本金总额为1000万港元的债券，未偿还债券的未偿还本金总额为19.33亿港元(未偿还债券)，占初始债券本金总额约70.29%。该公司于按现行经调整换股价每股换股股份44.7582港元(可予调整)悉数转换未偿还债券后将发行的换股股份上限为4318.76万股(向下约整最接近完整股数)，相当于本公告日期已发行股份总数约3.21%，当中假设于有关期间内并无行使换股权、购回或赎回债券。
