未来世界控股(00572)拟收购Elite Holdings International全部股权及股东贷款
未来世界控股(00572)发布公告，于2024年6月26日，该公司与卖方朱煜信订立买卖协议，公司有条件同意收购及受让，而卖方有条件同意出售及转让Elite Holdings International全部股权及股东贷款，代价分别为人民币177.47万元及人民币2500万元。
代价由该公司于完成后按发行价每股代价股份0.7港元配发及发行2170万股代价股份予卖方以结付人民币1412.67万元;及发行本金额为1360万港元的承兑票据予卖方(或其指定实体)以结付结余人民币1264.8万元。
于完成后，Elite Holdings International将成为该公司的全资附属公司。
鉴于中国酒店业前景利好，时逢中国政府推行鼓励性政策促进旅游业，集团谋划布局酒店管理及营运业务，以实现主要业务的多元化。
考虑到目标集团在山西省拥有一幢预期自2024年月开始用作酒店经营的九层楼宇，董事认为收购事项是合适的商机，可扩大其新酒店管理及经营业务的组合。此外，董事认为集团可从目标集团所持物业的长期潜在升值中获益。
