科轩动力控股(00476)拟进行股本重组，再按“2供3”基准进行供股
科轩动力控股(00476)发布公告，董事会建议进行股本重组，以削减每股现有股份的面值，据此：
(i)公司将透过注销公司每股已发行股份的缴足股本0.09港元削减已发行股本，将每股已发行股份的面值由0.10港元削减至0.01港元;
(ii)股本削减所产生进账金额将用以抵销公司于股本重组生效日期的累计亏损，从而减少公司的累计亏损;
(iii)紧随股本重组后，公司法定股本中每股面值0.10港元的每股法定但未发行股份将分拆为十10股每股面值0.01港元的法定但未发行经调整股份。
董事会建议，待股本重组生效后，按于记录日期每持有2股经调整股份获发3股供股股份的基准，以每股供股股份0.095港元的认购价进行供股，(i)透过发行最多13.92亿股供股股份(假设自本公告日期起至记录日期(包括该日)已发行股份总数并无变动，但股本重组导致者除外)筹集最多约1.322亿港元(扣除开支前);或(ii)透过发行最多15.25亿股供股股份(假设自本公告日期起至记录日期(包括该日)已发行股份总数并无变动，但股本重组以及尚未行使购股权获悉数行使后将予配发及发行的新股份导致者除外)筹集最多约1.449亿港元(扣除开支前)。
