中食民安(08283)拟收购河南省开源食品的股权
中食民安(08283)发布公告，于2024年7月16日，公司作为潜在买方与刘洋先生及刘庆好先生订立了一项不具法律约束力的谅解备忘录，集团拟收购河南省开源食品有限责任公司(目标公司，于本公告日期由潜在卖方全资拥有)的股权，确实数字将由公司与潜在卖方进一步磋商并于正式协议厘定。
目标公司主要从事鹅苗孵化;及鹅只养殖、屠宰、加工及销售。目标公司目前持有有效的排污许可证及动物防疫条件合格证书，并于河南省信阳市拥有一个年产量达1100万只家禽的全自动家禽屠宰生产线。
董事会的意见是，建议收购事项可提供多方面的战略优势，可与集团的智能厨电业务产生协同效应，同时让目标公司加大固始鹅养殖规模、加强家禽屠宰和加工的生产线。此外，预期建议收购事项可令目标公司透过利用集团在中国市场的知名品牌提升销量。
