德商产投服务(02270)拟收购四川德商绿建工程建设管理100%股权以进入代建业务领域
德商产投服务(02270)公布，于2024年7月19日，公司间接全资附属公司成都风知与智慧绿色订立股权转让协议，智慧绿色同意向成都风知转让目标股权(即四川德商绿建工程建设管理有限公司的100%股权)，代价为约人民币25.82万元。
据悉，目标公司主要从事(其中包括)建筑工程、建筑工程设计、提供工程管理服务、房地产咨询及规划及设计管理等业务。截至本公告日期，目标公司由智慧绿色全资拥有。智慧绿色为Desun Smart Green Hong Kong Limited的全资附属公司，该公司由邹康先生最终控制约87.5%的权益。Smart Green HK余下12.5%的股权由多名股东持有，而每名股东对Smart Green HK的控股比例不足10%。
股权转让完成后，目标公司将成为公司的间接全资附属公司，公司预计将通过该附属公司进入代建业务领域。通过整合资源，集团有望实现多个战略目标，包括业务多元化、提升品牌价值、提升营运效率及拓展市场。该战略举措预计将加强公司的竞争地位并推动长期增长。
