小黄鸭德盈(02250)与梦作坊订立终止及解除契约
小黄鸭德盈(02250)发布公告，公司与梦作坊经过进一步协商及讨论后，考虑到梦作坊的资金使用计划变动及宏观经济环境，梦作坊决定不再推进认购事项。于2024年7月22日(交易时段后)，公司与梦作坊订立终止及解除契约，据此，订约方协定同意即时终止认购协议;解除双方各自根据认购协议或由认购协议产生的所有义务及责任;及双方此后均不得就认购协议向对方提起任何索偿。
终止认购协议后，认购事项及根据合约安排进行的交易的完成不再互为条件。订立合约安排须根据下列条款及条件推进。
由全体独立非执行董事组成的独立董事委员会已告成立，以就合约安排及其项下拟进行的交易向独立股东提供意见。力高已获委任为独立财务顾问，以就此向独立董事委员会及独立股东提供意见。
