香港科技探索(01137)接获合共2.2亿股股份的有效接纳
香港科技探索(01137)发布公告，公司宣布要约已于最后接纳时限(即2024年7月23日(星期二)下午4时正)结束。于最后接纳时限，过户登记处已根据要约从接纳股东接获合共2.2亿股股份的有效接纳，相当于公司根据要约将予回购的最高数目约219.66%及于本公告日期已发行股份总数约24.72%。
由于根据要约提交的股份超过最高数目，公司将向各接纳股东回购的股份总数将根据要约文件所载的公式厘定。于要约完成时合共1亿股股份(即最高数目)将获公司回购及注销，预期于2024年8月1日(星期四)或之前进行。公司根据要约回购上述股份应付之总代价为2.15亿港元。
紧随要约完成后，Top Group一致行动集团于已发行股份的总权益将由约45.75%分别增加至约51.55%(假设自本公告日期起直至要约完成日期(包括当日)止概无购股权将获行使)及至约51.72%(假设于本公告日期已归属的所有购股权于要约完成前将获悉数行使)。
