资本界金控(00204)拟7000万港元收购全球并购上市联盟有限公司21.875%股权
资本界金控(00204)公布，于2024年7月31日，公司与国信卖方订立国信协议，该公司拟向国信达晟(深圳)产业发展集团有限公司收购全球并购上市联盟有限公司已发行股份的21.875%，代价为7000万港元，将透过配发及发行约1.49亿股国信代价股份以作结算。
国信重组完成后，国信卖方将持有国信目标公司100%权益，而国信目标公司将透过其全资附属公司间接持有国信营运公司的32%股权。国信协议完成后，该公司于国信营运公司的实际权益将为7%。
国信营运公司及其附属公司主要在中国内地提供线上平台及数码服务。其主要业务包括(i)为外送公司等新经济产业的主要参与者提供自动化数码服务，以结算应付工人的薪资及佣金;(ii)提供线上平台及数码解决方案，透过向出租人及承租人提供配对服务、租赁资讯、合约文件及合规材料，促进建筑业的轻型设备租赁;(iii)为中小企业提供调解及解决纷争的线上平台，包括提供调解员以及与中国各级人民法院的联繫沟通;及(iv)为企业提供财务管理、税务申报、记账等数码化解决方案。
董事认为，收购事项具有显著增长潜力。进行收购事项的目的是为达致中长期资本增值。
