华夏文化科技(01566)发布公告，公司谨此向股东提供以下有关建议重组重大进展的最新资料：
1.中国香港高等法院于2024年3月19日颁令批准债权人计划，未作任何修改。当债权人计划的所有先决条件(其中包括完成认购事项)获达成后，债权人计划将告生效。
2.公司已与公司的现有及新债权人进行磋商并达成谅解，包括但不限于解除涉及公司的若干法律诉讼，并减少公司的应付款项金额，以减轻公司的流动资金压力。
3.通函原定于2024年8月15日或之前寄发予股东。然而，于本联合公告日期，由于公司仍在根据监管机构的意见落实通函的内容，故通函的预计寄发日期将进一步延迟。
4.公司亦正在準备清洗豁免申请、特别交易及公司对联交所意见的回复，以根据上市规则第7.27B条就认购事项获取联交所的同意。
5.公司已于2024年7月29日在联交所网站刊发其截至2024年3月31日止财政年度的年报。
除上述者外，概无有关建议重组的其他重大进展。公司将根据收购守则适时就包括寄发通函在内的有关状况和进展作出进一步公告。
