格力地产完成资产置换交易 将逐步退出房地产 转而押宝免税业务
格力地产于11月22日晚间发布公告，公司计划将其持有的上海合联、上海保联、上海太联、三亚合联及重庆两江的100%股权，以及格力地产相关的对外债务，与海投公司持有的珠海市免税企业集团有限公司（简称“免税集团”）51%的股权进行资产置换。
通过此次资产重组，格力地产将逐步退出房地产业务，并引入盈利能力更强、现金流状况更优的免税业务，转型成为以免税业务为核心，布局围绕大消费运营等产业链的上市公司。
具体来看，拟置入的免税集团51%股权最终作价45.79亿元；拟置出的上述资产及债务最终作价分别为55.05亿元和5亿元，合计60.05亿元。两者估值差额为4.26亿元，由海投公司以现金支付给格力地产。双方资产估值的差额部分将以现金形式进行补足。
